Company Formation in Saudi Arabia: Step-by-Step Guide

Company formation in Saudi Arabia brings together investment registration, commercial registration, municipal and sector licences, tax registration and employer setup. Each is decided by a different authority, and approval under one does not satisfy the others.

This guide walks through the usual route for local and foreign founders, the main legal structures and the questions to answer before you start.

Choosing a legal structure

  • Limited liability company (LLC): a separate Saudi entity with liability limited to capital; widely used and often allows up to 100% foreign ownership, subject to MISA requirements
  • Branch of a foreign company: no separate legal personality, the parent remains responsible and activities are limited to the licence
  • Joint stock company: suited to larger capital structures
  • Regional headquarters (RHQ): for international groups managing regional operations from Riyadh, under programme-specific eligibility
  • Sole establishment: generally for Saudi and some GCC nationals

Structure choices have legal, tax and liability effects. We coordinate qualified advisers for these decisions.

The company formation process

  1. Plan: define the activity, shareholders, capital, budget and timing
  2. Assess: research activity conditions, ownership rules and licences
  3. Register the investment with MISA where foreign investment applies
  4. Reserve the trade name and prepare the articles of association
  5. Obtain the commercial registration (CR) and Chamber membership
  6. Register the national address and obtain the municipal licence
  7. Register with ZATCA and set up GOSI, Qiwa, Mudad and Muqeem
  8. Open the bank account and start operating

Commercial registration under the new CR Law

The Commercial Registration Law that took effect in 2025 removed the expiry date from the CR and introduced an annual confirmation of the registered information. A single national CR can cover branch activities. We add the annual confirmation to your compliance calendar.

What affects cost and timing

  • The activity and whether it has capital or sector conditions
  • Whether foreign shareholders are involved
  • How quickly attested parent-company documents are ready
  • Premises and the licences they trigger
  • Number of visas and employees in the first year
  • Which post-formation services you need

Mistakes we help founders avoid

  • Signing a lease before confirming the premises suit the activity and licence
  • Choosing activity codes that do not match the actual business
  • Attesting documents in the wrong order or without Arabic translation
  • Treating MISA registration as the end of the process
  • Missing the first annual CR confirmation and MISA update
